1. Agreement
These Terms and Conditions ("Terms") govern your access to and use of BuddyTMS ("Service") operated by BuddyTMS. By creating an account or using the Service, you agree to these Terms.
If you use the Service on behalf of a company, you represent that you have authority to bind that company.
Creating a workspace requires you to affirmatively check a box agreeing to these Terms, our Privacy Policy, Refund Policy, and Payments Policy. We record the date and version of the agreement you accepted.
2. Service description
BuddyTMS is a transportation management platform for asset-based carriers and freight brokers, including dispatch, document management, carrier verification tools, and related integrations.
Features may vary by subscription plan. We may update, add, or remove features with reasonable notice when practicable.
3. Accounts & verification
You are responsible for safeguarding login credentials and for all activity under your workspace.
Invite-only registration may apply. We may verify DOT/MC authority and company details before enabling marketplace or posting features.
BuddyTMS is offered for United States operations only. Signup, workspace access, and payments require a US location and US billing instruments unless Buddy Ops grants an audited exception.
You agree to provide accurate business information and keep it current.
4. Acceptable use
You will use the Service only for lawful auto transport and freight operations.
You may not use the Service to post fraudulent loads, misrepresent authority, steal customers, bait-and-switch, harass users, or circumvent security controls.
Automated scraping, reverse engineering, or attempts to overload the platform are prohibited.
5. FMCSA & third-party data
FMCSA, weather, fuel index, and mapping data are provided by third parties. We do not guarantee completeness or real-time accuracy.
Compliance decisions remain your responsibility. Brokerage Shield and similar tools assist dispatchers but do not replace your duty to vet carriers.
6. Documents & e-signatures
Generated rate confirmations, bills of lading, invoices, and agreements reflect information you supply. You are responsible for reviewing documents before sending or signing.
Electronic signatures captured through the Service are stored for audit purposes as configured in your workspace.
7. Subscription & billing
Free and Pro plans are described on our pricing page. Pro trials, if offered, convert to paid subscription per your agreement with us.
Fees, trials, and billing terms may be updated; continued use after notice constitutes acceptance where permitted by law.
Where enabled for your workspace, a one-time activation fee may apply to unlock a plan or feature set; if charged, the amount and any starter token grant are disclosed before you confirm.
8. Marketplace tokens, wallet & fraud
Your workspace may have a marketplace token wallet used to post and promote loads, use Business AI, receive Pro allotments or pack purchases, and transfer credits to other verified workspaces. Tokens are digital credits for use inside the Service only — not cash, cryptocurrency, or redeemable currency except as our Refund Policy expressly allows.
Wallet balances, spends, transfers, and ledger history are tied to the workspace. Owners and authorized admins are responsible for all wallet activity. Confirmed spends and transfers are final unless we reverse them for error, fraud, or policy violation.
Detailed rules for token economics, packs, transfers, Stripe payments, and receipts are in our Wallet, Tokens & Payments Policy, which is incorporated into these Terms by reference.
Fraud and abuse related to tokens or billing are prohibited, including without limitation: chargebacks or payment disputes after receiving tokens or Pro access; farming goodwill or feedback credits; fabricating or circular workspace-to-workspace transfers; manipulating balances, ledgers, or anti-abuse limits; using stolen payment methods; or attempting to obtain tokens, allotments, or refunds through deception.
We may investigate unusual wallet or marketplace activity, reverse or claw back improperly obtained tokens, deny credits, and suspend or terminate marketplace posting, wallet access, Business AI, or the workspace. Filing a chargeback after receiving value may result in suspension until the dispute is resolved.
9. Freight payments & platform fee
BuddyTMS is software only. For freight invoices you send to your customers, you (the broker) are the merchant of record — BuddyTMS is not a party to that sale and does not guarantee payment.
When a customer pays an invoice through Pay Now (Stripe Connect), we charge your workspace a platform fee (take-rate) on that payment, configurable by us in GodsEye. Manually recording an offline payment does not incur this fee.
Buy-now-pay-later options, where enabled, are for auto shippers only; you are paid in full up front and the installment plan is an agreement between the shipper and the lender, not you or us.

Our Privacy Policy explains how we collect and use information. It is incorporated into these Terms by reference.
11. Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Limitation of liability
To the maximum extent permitted by law, BuddyTMS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, loads, or data.
Our aggregate liability for claims relating to the Service is limited to the fees you paid us in the twelve months before the claim, or one hundred U.S. dollars if you use a free plan.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, fraud risk, or non-payment.
Provisions that by nature should survive termination (limitations, disclaimers, governing law) will survive.
