Wallet, Tokens & Payments

1. Overview
This Wallet, Tokens & Payments Policy ("Policy") explains how marketplace tokens, your workspace wallet, Pro subscriptions, and token pack purchases work on BuddyTMS. It supplements our Terms & Conditions and Refund Policy.
By using the marketplace, purchasing token packs, transferring tokens between workspaces, or subscribing to Pro, you agree to this Policy.
This Policy covers marketplace tokens and subscription billing only. The platform take-rate charged on freight invoice Pay Now payments is separate from tokens and is described in our Payments Policy.
2. Marketplace tokens
Marketplace tokens are digital credits used inside your BuddyTMS workspace to post loads on the verified marketplace, promote listings, use Business AI, book carriers outside the Marketplace, and transfer credits to other verified workspaces.
Token pack purchases and Pro billing require United States billing instruments. Non-US cards are not auto-credited; Buddy Ops may adjust wallets after review.
Tokens are not cryptocurrency, securities, or legal tender. They have no cash value outside the Service and cannot be redeemed for money except as expressly stated in our Refund Policy.
Token costs for posting, promoting, off-marketplace books, and other spends may change. Current rates are shown in your workspace Wallet before you confirm a spend.
3. Your wallet
Each workspace has a wallet balance showing available marketplace tokens and a ledger of credits and debits.
Token balances are tied to your workspace, not to individual user accounts. Workspace owners and authorized admins are responsible for how tokens are spent or transferred.
Unused token balances remain in the wallet until spent or transferred. We may adjust balances to correct errors, reverse fraudulent activity, or grant promotional credits at our discretion — including rewards when a public Ideas board request ships.
4. Pro monthly allotment
Active Pro subscriptions (including trials in good standing) receive a monthly token allotment credited to the workspace wallet once per calendar month. Allotment amounts and timing are shown in Wallet and may be updated with reasonable notice.
Allotments are credited once per month while Pro remains active. Unused tokens from prior allotments and pack purchases stay in your wallet until spent. If your Pro subscription lapses, new monthly allotments stop; existing balance remains available for marketplace spends unless we notify you otherwise.
5. Activation starter tokens
If your workspace pays a one-time activation fee (where enabled for your plan), we may credit a one-time batch of starter marketplace tokens to your wallet along with activation. Starter tokens are subject to this Policy the same as any other wallet tokens and are not refundable once credited, except as our Refund Policy expressly allows.
6. Token packs
Workspaces may purchase additional token packs through checkout. Pack sizes, prices, and availability are displayed before purchase and may vary by plan or promotion.
Token packs credit your wallet after successful payment. Pack purchases are generally non-refundable except where required by law or as described in our Refund Policy.
7. Workspace-to-workspace transfers
Owners and admins of a verified workspace may send tokens to another verified BuddyTMS workspace. Recipients are identified by workspace name, DOT, or MC as shown in Wallet search.
Each transfer requires a reason and a written note (retained for audit). Optional links to a marketplace listing or order are for your records only and do not move cash or change load status.
Transfers are final once confirmed. Tokens are not cash; sending tokens does not create a payment obligation, settlement, or escrow between workspaces. Abuse, fraud, or chargebacks related to purchased tokens may still result in balance adjustments or suspension under this Policy.
8. Stripe payments
BuddyTMS uses Stripe, Inc. ("Stripe") to process Pro subscriptions and token pack purchases. When you pay, you are also subject to Stripe's terms and privacy practices for payment processing.
We do not store full payment card numbers on our servers. Stripe handles card data, billing receipts, and payment method updates. You may manage payment methods through the Stripe Customer Portal where available.
Subscription renewals, failed payments, and invoices are handled according to your plan and our Terms. Past-due accounts may lose access to Pro features or marketplace posting until billing is current.
This is separate from the platform take-rate charged on freight invoice Pay Now payments — that fee is not a token spend and is not billed through this wallet; see our Payments Policy.
9. How tokens are spent
Posting a load to the marketplace debits tokens from your wallet at the posted rate when the listing first goes live. Updates to a live listing do not charge additional post tokens.
Promoting a listing debits tokens for a priority placement window you choose at Promote time (for example 24, 48, or 72 hours, as configured by the platform) and related carrier alerts, as shown in Wallet at the time of spend.
Rate “Boost” controls that change carrier pay on a load do not spend marketplace tokens and do not purchase Promote placement.
Business AI messages may debit tokens per message as shown in Wallet for your plan.
Booking a carrier outside BuddyTMS Marketplace (sending an email load offer, or direct assign of a carrier not linked from Marketplace) debits tokens at the rate shown when you confirm — this is the marketplace book fee, charged even when the carrier later declines the offer. Marketplace bid accepts do not charge this fee. Unassigning a carrier does not automatically refund the book fee.
Spends and transfers are final once confirmed. Deleted or expired listings do not automatically refund tokens unless we state otherwise or grant a credit for a platform error.
10. Taxes & receipts
Prices may be shown before tax. Where applicable, tax is calculated at checkout through Stripe.
Receipts and invoices for subscriptions and token packs are available through Stripe or your workspace Wallet (Plan & Billing). Wallet credit events may also generate operational receipt slips for platform records; those slips are not tax invoices.
11. Chargebacks, fraud & abuse
Filing a chargeback or payment dispute after receiving tokens or Pro access may result in suspension of marketplace posting, wallet access, or the workspace until the dispute is resolved.
Prohibited conduct includes farming goodwill or Business AI feedback credits, circular or fabricated workspace transfers, manipulating ledgers or anti-abuse limits, using stolen payment methods, sockpuppet workspaces to inflate Ideas board votes, and obtaining tokens or refunds through deception.
We may investigate unusual wallet activity, abusive transfers, or marketplace abuse; reverse or claw back improperly obtained tokens; deny credits; and suspend or terminate access accordingly. This Policy is subject to our Terms & Conditions.
12. Changes & contact
We may update token economics, pack pricing, transfer rules, or this Policy. Material changes will be posted on BuddyTMS.com and, where appropriate, noted in Wallet or billing settings.
